Terms of Service

These Terms of Service govern your use of CallMeLater and Memline. By creating an account or using the app, you agree to these Terms.


1. Acceptance

By creating an account, accessing, or using CallMeLater or Memline (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Services.

These Terms constitute a legally binding contract between you and Canell SRL (Belgian company number BE0778.716.691), referred to as "we", "us", or "our".


2. Service Description

Canell SRL operates two products:

  • CallMeLater — a B2B API platform for scheduling webhooks (automated HTTP requests) and reminders with optional confirmation gates
  • Memline — a mobile application for personal reminder management with optional recipient notifications via email or SMS

The Services allow you to schedule actions for future execution, send reminders to yourself or third parties, and automate follow-up workflows based on responses.


3. Eligibility

You must be at least 16 years of age to use the Services. If you are under 18 and live in a jurisdiction requiring parental consent, you confirm that you have obtained such consent.

You confirm that you have the legal capacity to enter into these Terms under the laws of your jurisdiction.


4. Account & Security

You are responsible for maintaining the security of your account credentials. You must:

  • Use a strong, unique password
  • Keep your login details confidential
  • Notify us immediately of any unauthorized access at legal@callmelater.io

You are responsible for all activity that occurs under your account, whether or not authorized by you.


5. Plans, Billing, and Refunds

5.1 Free Plan

The Free plan includes usage limits as specified on our pricing page. We may change these limits with 30 days' notice.

5.2 Paid Plans

Paid subscriptions renew automatically on a monthly or annual basis until canceled. You may cancel at any time via the app or by contacting legal@callmelater.io.

Cancellation takes effect at the end of the current billing period. No prorated refunds are provided except where required by law.

5.3 EU Consumer Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, in accordance with Article VI.47 of the Belgian Code of Economic Law and the EU Consumer Rights Directive.

To exercise your right of withdrawal, contact legal@callmelater.io with a clear statement of your decision to withdraw. If you have used the Services during the withdrawal period, you may be charged a proportional amount for the services already provided.


6. Acceptable Use

You must comply with our Acceptable Use Policy at all times. Failure to comply may result in suspension or termination of your account.


7. User Content & License

You retain all ownership rights to the content you submit to the Services, including reminder text, photos, voice recordings, and recipient data ("Your Content").

By using the Services, you grant Canell SRL a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely for the purpose of operating the Services and fulfilling your instructions.

We will not use Your Content for any purpose other than providing the Services, except as required by law or with your explicit consent.


8. Recipient Consent (Critical)

By adding a contact or recipient, you confirm you have the right to contact them at the provided email/phone and that they have consented (explicitly or contextually) to receive your reminders. You accept full responsibility for the lawfulness of your recipient data under applicable law (GDPR, ePrivacy Directive, LCEN, CAN-SPAM Act).

Canell SRL acts as a data processor when you send reminders on your behalf. You are the data controller for recipient data and must ensure compliance with all data protection and electronic communication laws.


9. Prohibited Use

You may not use the Services to:

  • Send spam or unsolicited bulk messages
  • Harass, threaten, or abuse any person
  • Distribute illegal, defamatory, or harmful content
  • Scrape, reverse engineer, or decompile the Services
  • Bypass rate limits, quotas, or security measures
  • Circumvent usage restrictions or payment requirements
  • Use the Services for commercial purposes in ways not authorized by your plan

10. Service Availability

We provide the Services on a best-effort basis. We do not guarantee:

  • Uninterrupted availability
  • Exact execution timing
  • Successful delivery of reminders or webhooks

The Free plan has no Service Level Agreement (SLA). Paid plans may include specific SLA commitments as specified in your plan documentation.

We reserve the right to perform scheduled maintenance with reasonable notice.


11. Suspension & Termination

We may suspend or terminate your access to the Services immediately and without notice if:

  • You violate these Terms or the Acceptable Use Policy
  • Your account is used for illegal activity
  • We are required to do so by law or court order
  • Your use poses a security risk or harms other users

For less severe violations, we will make reasonable efforts to warn you before termination.

You may terminate your account at any time via Settings → Delete Account.


12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Services will meet your specific requirements
  • Reminders or webhooks will be delivered successfully or on time
  • The Services are suitable for critical, medical, or safety-of-life applications

Do not use the Services for emergency notifications, medical alerts, or any use case where failure could result in injury, death, or significant property damage.


13. Limitation of Liability

To the maximum extent permitted by Belgian law, Canell SRL's total liability to you for any claims arising from or relating to the Services is limited to the lesser of:

  • EUR 100, or
  • The total fees you paid to Canell SRL in the 3 months preceding the claim

IN NO EVENT SHALL CANELL SRL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation of liability does not exclude liability that cannot be excluded under Belgian law, including liability for:

  • Death or personal injury caused by gross negligence or intentional misconduct
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

14. Indemnification

You agree to indemnify, defend, and hold harmless Canell SRL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your Content (including recipient data)
  • Your violation of these Terms or the Acceptable Use Policy
  • Your violation of any law or third-party rights

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Services, legal requirements, or business practices.

If we make material changes, we will notify you by:

  • In-app notification, or
  • Email to your registered address

Material changes will take effect 30 days after notification. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services and delete your account.


16. Governing Law & Jurisdiction

These Terms are governed by the laws of Belgium, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Nivelles, Belgium.

EU Consumer Exception: If you are a consumer resident in the European Union, you retain the right to bring claims in the courts of your home jurisdiction, in accordance with EU consumer protection law.


17. Entire Agreement, Severability, Assignment

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Canell SRL regarding the Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

You may not assign or transfer your rights under these Terms without our prior written consent. Canell SRL may assign these Terms without restriction.
